1. Acceptance of Terms

Welcome to HireDirectIT ("Company," "we," "our," or "us"). By accessing our website, engaging our platform matching services, or hiring dedicated talent through our service agreements, you ("Client," "you," or "your") agree to be bound by these Terms & Conditions.

If you do not agree with any part of these terms, you must not access our website or engage our IT talent direct-hire services.

2. Services & Talent Matching

HireDirectIT provides pre-vetted IT talent matching services, connecting business clients with dedicated software engineers, web developers, CRM specialists, and automation professionals in technologies including WordPress, GoHighLevel (GHL), Shopify, Zoho Suite, Make, Zapier, and custom REST APIs.

• Matching Timeline: We strive to introduce pre-screened talent profiles within 24 to 48 hours of receiving your detailed job or project specifications.
• Direct Integration: Assigned talent works directly under the Client's day-to-day project management, workflow tools, and communication channels.

3. 100% Risk-Free Trial Policy

We provide a trial period for newly assigned developers or specialists to ensure full technical and cultural alignment with your business requirements.

4. Codebase & Intellectual Property Ownership

Clients retain complete, unencumbered ownership of all deliverables produced by assigned talent.

• Work Made for Hire: All source code, custom themes, plugins, CRM blueprints, Deluge scripts, sales funnels, and automation workflows created during the engagement are considered "Work Made for Hire."
• Exclusive Ownership: Upon payment of applicable service fees, all rights, title, and copyright in created IP transfer exclusively to the Client.

5. Confidentiality & Non-Disclosure Agreements

Both parties agree to maintain strict confidentiality regarding proprietary codebase access, CRM data, trade secrets, customer records, and operational methods.

All HireDirectIT developers and specialists execute legally binding Non-Disclosure Agreements (NDAs) prior to client placement to guarantee the security of your business assets.

6. Payments & Billing Terms

Engagement fees are billed on a flexible month-to-month or agreed-upon project basis as specified in your Service Order Agreement.

• Invoices are issued in advance of each monthly billing cycle unless otherwise agreed in writing.
• Payments must be remitted via approved payment gateways, credit card, or electronic bank transfer.

7. Term & Flexibility

Services operate on a flexible, month-to-month agreement without multi-year lock-in obligations.

Either party may terminate an ongoing engagement by providing written notice as stipulated in your specific Service Agreement (typically 14 to 30 days' advance notice), allowing you total flexibility to scale your team as business needs evolve.

8. Limitation of Liability

To the maximum extent permitted by applicable law, HireDirectIT shall not be liable for indirect, incidental, consequential, or punitive damages arising out of service usage, third-party platform downtime (e.g., WordPress plugin conflicts, GHL outage, Shopify server updates, Zoho maintenance), or client-directed code deployments.
